Welcome to Smart Eagle (“Company,” “we,” “our,” or “us”). These Terms and Conditions (“Terms”) govern your use of our website, services, products, software, systems, and any related offerings (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms.

1. Services Overview

Smart Eagle provides professional services including, but not limited to:

  • Audio/visual installation and design
  • Networking and connectivity solutions
  • Security and surveillance systems
  • Lighting control and smart infrastructure
  • System programming, configuration, and integration
  • Monitoring, maintenance, consulting, and upgrades

Services may include hardware, software, configuration, remote access, cloud-based platforms, and third-party integrations.


2. Client Responsibilities

You agree to:

  • Provide accurate information regarding your property, systems, and technical environment.
  • Grant lawful access to premises for installation, maintenance, and service.
  • Maintain appropriate internet connectivity, electrical infrastructure, and environmental conditions.
  • Ensure that all equipment, networks, and devices not supplied by Smart Eagle meet applicable technical and safety standards.
  • Use the Services only for lawful purposes.

You are solely responsible for the operation and security of your systems once installation and configuration are complete.


3. Intellectual Property

All designs, system architectures, configurations, code, software scripts, diagrams, proposals, documentation, marketing materials, and content created or provided by Smart Eagle remain the intellectual property of Smart Eagle unless otherwise agreed in writing.

You may not copy, distribute, reverse-engineer, sublicense, or exploit any proprietary material without prior written consent.


4. Software, Licensing & Third-Party Platforms

Many systems involve third-party hardware, software, cloud services, and licensing platforms (e.g., automation software, security software, networking firmware, streaming platforms, control applications).

  • You agree that such third-party products are governed by their own license agreements.
  • Smart Eagle is not responsible for the functionality, availability, or security of third-party services.
  • Software access may be revoked, restricted, or modified by the software provider at any time.
  • Certain features may require subscription fees payable directly to third parties.

5. Remote Access & System Monitoring

To provide support, troubleshooting, updates, and optimization, Smart Eagle may require remote access to your systems.

By using our Services, you authorize Smart Eagle to:

  • Access your systems remotely for maintenance and diagnostics.
  • Modify configurations to ensure performance, compatibility, and security.
  • Monitor system health, connectivity, and errors.

Smart Eagle will take reasonable security measures but does not guarantee uninterrupted access or complete protection from cyber threats.


6. Data Collection & Usage

Smart Eagle may collect and process:

  • Device status, logs, diagnostics, error reports

  • Configuration and system metadata
  • Usage data necessary for support and optimization

This data is used solely to deliver, improve, and secure Services.

We do not sell personal data.

8. Advertising, Marketing & Media Consent

By engaging Smart Eagle, you acknowledge and agree that:

8.1 Project Showcasing

We may photograph, record, or describe completed projects for:

  • Website portfolios
  • Social media
  • Advertising campaigns
  • Case studies and presentations

No personally identifiable information (such as your name or address) will be publicly disclosed without your written consent.

8.2 Testimonials

If you provide a review, testimonial, or feedback, you grant Smart Eagle the right to use it for marketing purposes.

8.3 Opt-Out

You may request in writing that your project not be used for promotional purposes.


9. Security Systems & Surveillance Disclaimer

Smart Eagle does not provide law enforcement services or guarantee crime prevention.

You acknowledge that:

  • No system is completely fail-proof.
  • Equipment may malfunction, lose power, or experience connectivity issues.
  • Cybersecurity risks exist even with best practices.

Smart Eagle is not liable for:

  • Theft, intrusion, hacking, data breaches, or unauthorized access
  • Property damage, personal injury, or losses resulting from system failure
  • Acts of third parties or criminal activity

You are responsible for insurance coverage on your property.


10. Limitation of Liability

To the maximum extent permitted by law:

Smart Eagle shall not be liable for:

  • Indirect, incidental, special, or consequential damages
  • Loss of data, revenue, profits, or business interruption
  • System downtime, outages, or third-party service failures

Total liability shall not exceed the amount paid to Smart Eagle for the specific service giving rise to the claim.


11. Warranties & Disclaimers

Services are provided “as is” and “as available.”

We make no warranties regarding:

  • Uninterrupted system operation
  • Compatibility with future software or hardware updates
  • Third-party platform reliability

Hardware warranties, if any, are governed by the manufacturer.


12. Payment, Fees & Non-Payment

  • All invoices are due as stated in your agreement.
  • Late payments may result in service suspension or system access restrictions.
  • Smart Eagle reserves the right to withhold documentation, credentials, or access until balances are paid.

13. Termination

Smart Eagle may suspend or terminate Services if:

  • These Terms are violated
  • Payment obligations are not met
  • Systems are used unlawfully or in a way that creates security risk

Upon termination, you remain responsible for all outstanding balances.


14. Force Majeure

Smart Eagle is not liable for delays or failures caused by events beyond reasonable control, including natural disasters, power outages, internet failures, cyberattacks, labor disputes, or government actions.


15. Governing Law

These Terms shall be governed by and interpreted under the laws of the State of Florida, without regard to conflict-of-law principles.


16. Modifications

Smart Eagle may update these Terms at any time. Continued use of Services constitutes acceptance of any changes.
